PwC & WH Smith Under the Spotlight as UK Regulator Opens Audit Investigation š¬š§ The UK's Financial Reporting Council (FRC) has formally opened an investigation into PricewaterhouseCoopers LLP's audit of WH Smith plc's consolidated financial statements for the year ended 31 August 2024. The FRC stressed that the opening of an investigation does not indicate that any breaches have been identified, nor does it imply wrongdoing by PwC, WH Smith or any other parties. The decision was taken by the FRC's Conduct Committee on 21 April 2026 and the case will proceed under the Audit Enforcement Procedure. The investigation comes at a challenging time for WH Smith, one of the UK's best-known retailers. The company, which has transformed itself from a traditional high street bookseller into a global travel retail business operating in airports, railway stations and hospitals, has been under separate scrutiny by the Financial Conduct Authority over potential listing and disclosure breaches following the discovery of inflated earnings at its North American division. WH Smith has also warned of softer trading conditions, suspended its dividend earlier this year and reduced its annual profit guidance amid a more uncertain consumer environment. PwC has served as WH Smith's auditor since 2015. The firm is also facing a separate FRC investigation relating to its audit of Digital 9 Infrastructure. For the profession, the message is clear: regulators continue to raise the bar on audit quality, with high-profile engagements remaining open to scrutiny long after the audit opinion has been signed.
