The day a merger closes, the acquiring company’s leader usually takes the wheel. It feels natural. But it may also create the integration’s first major blind spot. Knowing the strategy, people and culture that drove the deal is a significant advantage. But knowing one organisation is not the same as knowing how to bring two organisations together. Consider Warner Bros. Discovery. When Discovery and WarnerMedia merged in 2022, Discovery CEO David Zaslav took the helm. What followed was extensive restructuring, layoffs, cancelled projects and substantial integration costs. By 2024, the company had recorded a US$9.1 billion goodwill impairment relating to its television networks business. To be fair, integration was not the only factor. The media industry was already dealing with streaming disruption and declining traditional television revenues. Still, the case highlights an important risk. Internal leaders bring authority, continuity and deep organisational knowledge. But they may also favour one side, protect legacy interests or underestimate cultural and operational friction. A neutral integration adviser brings a different perspective: independence, experience across multiple integrations and the freedom to challenge decisions without becoming caught in internal politics. The best approach is rarely purely internal or external. It is internal ownership supported by independent, objective judgement. This matters even more in complex integrations—particularly in deep-tech, innovation and IP-intensive sectors. Relying solely on legacy structures can quietly erode the very value the acquisition was meant to capture. True synergy demands an objective, multidisciplinary approach to integrating operations, people and intangible assets, including rigorous IP valuation.
