The Yale Journal on Regulation published The Anatomy of Nonprofit Control of Business Enterprise, in which Ofer Eldar (Berkeley) and I unpack the economic rationales behind nonprofit business ownership and highlight the often-overlooked risks of nonprofit control. The article may be of interest to those working on nonprofits, enterprise foundations, mission drift, corporate purpose, and responsible business ownership, as well as to anyone curious about the institutions that control firms such as Patagonia, OpenAI, Anthropic, Hershey, Carlsberg, Rolex, IKEA, Novo Nordisk, Mahle, Zeiss, Bosch, Mærsk, and Lundbeck. The article is available open access https://www.yalejreg.com/, and a short, accessible summary is available on the Harvard Law School Forum on Corporate Governance: https://lnkd.in/eAWms5TP. Thanks to all the generous scholars and practitioners who provided thoughtful comments and continue to engage seriously with this subject.
