๐‚๐ก๐ข๐ง๐š ๐‡๐ฎ๐ฌ๐ญ๐ฅ๐ž Recently, a China client of mine came to Malaysia exploring opportunities to expand their beverage business. Naturally, I suggested Malaysia to be one of their options to raise funds through our capital market. After all, getting listed in China is notoriously difficult. Companies there face a long โ€œqueueโ€ under tight regulatory thresholds and a tedious approval process. Malaysia, in contrast, seems more approachable โ€ฆโ€ฆ or so I thoughtt. But when I tried introducing IBs to them, most bankers politely advised me to tell the client not to waste their time or money pursuing a Malaysian listing. One banker, perhaps too tired to explain, told me to go watch โ€œ๐“๐ก๐ž ๐‚๐ก๐ข๐ง๐š ๐‡๐ฎ๐ฌ๐ญ๐ฅ๐žโ€ youโ€™ll understand why. So I did. That documentary was an eye-opener. It exposes how, after the 2008 financial crisis, Chinese companies that went public in the U.S.A. overstated earnings and even fabricated entire businesses. Due diligence reports were glossed over. ๐ˆ๐ง๐ฏ๐ž๐ฌ๐ฆ๐ž๐ง๐ญ ๐›๐š๐ง๐ค๐ž๐ซ๐ฌ, ๐š๐ฎ๐๐ข๐ญ๐จ๐ซ๐ฌ, ๐ฏ๐š๐ฅ๐ฎ๐ž๐ซ๐ฌ, ๐š๐ง๐ ๐ฅ๐š๐ฐ๐ฒ๐ž๐ซ๐ฌ ๐š๐ฅ๐ฅ ๐ฉ๐ฅ๐š๐ฒ๐ž๐ ๐ญ๐ก๐ž๐ข๐ซ ๐ฉ๐š๐ซ๐ญ๐ฌ, ๐ฐ๐ก๐ž๐ญ๐ก๐ž๐ซ ๐›๐ฒ ๐จ๐ฏ๐ž๐ซ๐ฌ๐ข๐ ๐ก๐ญ ๐จ๐ซ ๐œ๐จ๐ฆ๐ฉ๐ฅ๐ข๐œ๐ข๐ญ๐ฒ. When investigators visited the supposed โ€œfactoriesโ€ in China, they found empty buildings. Shell companies. Faked reports. Money gone. Investors burnt. The regulators, meanwhile, were left dumbfounded by the aftermath. And just like thatโ€ฆ.. billions disappeared, with barely any consequences. Malaysia wasnโ€™t spared either. Those China-based companies that were listed here after 2008 (early 2010s) eventually vanished or were delistedโ€ฆโ€ฆ.. plagued by corporate governance issues, accounting irregularities, and poor performance. ๐‘๐ž๐ ๐ฎ๐ฅ๐š๐ญ๐จ๐ซ๐ฌ ๐ญ๐จ๐จ๐ค ๐ญ๐ก๐ž ๐ก๐ข๐ง๐ญ. ๐’๐ข๐ง๐œ๐ž ๐ญ๐ก๐ž๐ง, ๐ญ๐ก๐ž๐ซ๐žโ€™๐ฌ ๐›๐ž๐ž๐ง ๐š๐ง ๐ฎ๐ง๐ฐ๐ซ๐ข๐ญ๐ญ๐ž๐ง ๐ซ๐ฎ๐ฅ๐ž : ๐š๐ฏ๐จ๐ข๐ ๐š๐ง๐ฒ๐ญ๐ก๐ข๐ง๐  ๐‚๐ก๐ข๐ง๐š-๐›๐š๐ฌ๐ž๐, ๐จ๐Ÿ๐ญ๐ž๐ง ๐ฌ๐ญ๐ž๐ซ๐ž๐จ๐ญ๐ฒ๐ฉ๐ข๐ง๐  ๐ž๐ฏ๐ž๐ซ๐ฒ ๐ง๐ž๐ฐ ๐จ๐ง๐ž ๐ญ๐ก๐š๐ญ ๐ญ๐ซ๐ข๐ž๐ฌ ๐ญ๐จ ๐ซ๐ž๐š๐œ๐ก ๐จ๐ฎ๐ซ ๐œ๐š๐ฉ๐ข๐ญ๐š๐ฅ ๐ฌ๐ก๐จ๐ซ๐ž๐ฌ. Remember Serba Dinamik? A mere RM3 million fine, while RM6 billion in market capitalisation were wiped out (including my RM150k). Meanwhile, an ordinary citizen goes to jail for stealing a loaf of bread. Thatโ€™s capitalism at its worst. Rewarding those who dare to take advantage of others, as long as they play it smart enough. Many dream of becoming lawyers to defend justice.
