Energy Club continues its special project on corporate governance in Ukraine’s energy sector. Our new interview features Maksym Nemchynov, Vice President of Energy Club, Deputy Minister of Energy of Ukraine in 2020–2021, former State Secretary of the Ministry of Energy and member of the first Supervisory Board of NPC Ukrenergo. The topic of the conversation is: “The State, Supervisory Boards and Management: Where Does the Boundary of Responsibility Lie?” The interview focuses on: 🔹 the role of the state as a shareholder in energy companies; 🔹 the boundary between legitimate ownership control and operational interference; 🔹 the responsibilities of supervisory boards and management; 🔹 corporate governance during wartime; 🔹 the role of governance quality in building investor confidence; 🔹 ownership policy, KPIs and depoliticized appointments. According to Maksym Nemchynov, the key challenge for corporate governance in Ukraine’s energy sector today is not so much the lack of legislation, but the quality of its practical implementation, management culture and a clear division of responsibilities between the state, supervisory boards and company management.
