What if your AI changes its mind overnight? Same prompt. Same contract. Different draft. We asked the same AI platform to draft a definition of "Confidential Information" for use in a contract... And then we asked again a few days later. The results? Drastically different drafts. Not only was the contractual language itself different, even at odds, the explanation AI offered up was different. On day one, AI focused on two primary drivers: 1) identifying the true nature of confidential information based on the context in which it was being shared, and 2) ensuring that nonconfidential information was expressly identified because such identification is "critical" to the enforceability of the definition. On day two, AI changed its analysis: 1) AI focused on identifying specific categories of confidential information, and 2) AI suggested that identifying nonconfidential information is "optional." So what are we to make of this? First, stay in the driver seat. You are ultimately responsible for your contract, and you need to ensure that AI drafts at your direction. Two, have a plan. AI is a tool: -Just like automated contract management systems were prior to AI. -Just like boilerplate templates were prior to CMS. -Just like a rake is when prepping a garden.
