Not every carve-out starts with the intention to sell. When the Louwman Group, a family-owned Dutch mobility business with more than EUR 2.5 billion in turnover, engaged Clairfield Netherlands to explore options for its care division, the mandate was not to sell. However, the process ultimately led to the sale of the entire division to private equity firm AURELIUS. In an interview for Clairfield Outlook 2026, CFO William Bontes reflects on the two challenges that stood out: bridging the cultural gap between a family-owned company and a private equity buyer, and untangling a highly centralised organisation where IT, finance, HR, and procurement all sat at group level. When asked why you need an advisor for a carve-out, William answered: “A transaction like this involves many elements that business leaders may not be aware of until they are in the middle of it.
