CV Resources is partnering with a PE firm in search for a highly analytical and driven Private Equity Associate to support buy-side and sell-side due diligence, financial modeling and analysis. This individual will work closely with senior investment professionals and management teams to evaluate investment opportunities, develop financial models, and drive value creation initiatives across portfolio companies.

The role is fully remote but highly prefer candidates residing in CA.

The ideal candidate will come directly from a Private Equity firm experience evaluating and executing transactions in the lower middle-market or middle-market sector.

Key Responsibilities

Transaction Execution & Due Diligence

  • Lead and support buy-side and sell-side due diligence processes for prospective acquisitions, recapitalizations, and divestitures.
  • Analyze historical financial statements, operational metrics, and key performance indicators to assess investment opportunities.
  • Coordinate third-party diligence providers, including quality of earnings, tax, legal, insurance, and commercial diligence teams.
  • Review due diligence findings and identify transaction risks, opportunities, and value creation initiatives.
  • Assist in negotiating purchase agreements, transaction structures, and closing processes.

Financial Modeling & Investment Analysis

  • Build and maintain complex financial models, including LBO, DCF, merger, operating, and valuation models.
  • Perform scenario analysis, sensitivity analysis, and return modeling to evaluate potential investments.
  • Analyze capital structures, debt financing alternatives, and transaction economics.
  • Prepare investment committee materials, presentations, and recommendations for senior leadership.

Qualifications

  • Bachelor's degree in Finance, Economics, Business, Accounting, or a related field.
  • MBA, CFA, or other advanced credentials are a plus.
  • 2–8 years of relevant experience in Private Equity
  • Prior experience supporting lower middle-market or middle-market transactions required.
  • Strong understanding of buy-side and sell-side M&A processes.
  • Experience performing financial due diligence and transaction analysis.
  • Advanced financial modeling and valuation skills, including LBO modeling.
  • Strong analytical, communication, and presentation abilities.
  • Ability to manage multiple transactions simultaneously in a fast-paced environment.
