The Head of Legal will serve as the principal legal advisor to the Company, providing strategic leadership across all legal, regulatory, and governance matters. This role is responsible for establishing a robust legal framework, ensuring regulatory compliance, managing legal risk, and supporting business growth through commercially sound legal guidance.
The successful candidate will combine deep expertise in corporate legal counsel, intellectual property, and commercial law with strong leadership capabilities and a proactive, solutions-oriented approach.
Key Responsibilities
1. Legal Leadership & Corporate Governance
- Act as the chief legal advisor to the Executive Team and senior stakeholders.
- Lead the development and execution of the Company’s legal strategy, aligned with overall business objectives.
- Establish and oversee corporate governance frameworks, policies, and procedures across the Company
- Advise on board matters, corporate structuring, and shareholder issues where required.
- Ensure compliance with all applicable laws, regulations, and industry standards across jurisdictions.
2. Risk Management & Compliance
- Design, implement, and continuously improve the Company’s enterprise legal risk management framework.
- Identify, assess, and mitigate legal and regulatory risks across business operations.
- Oversee compliance programs, including data privacy, IP protection, and contractual obligations.
- Develop internal controls, policies, and training to promote legal awareness within the organization.
3. Commercial Contracts & Strategic Transactions
- Oversee and lead all contracting strategy and execution, including:
- Artist and talent agreements
- Venue and event contracts
- Strategic partnerships and joint ventures
- Vendor, licensing, and distribution agreements
- Provide high-level negotiation leadership on complex, high-value, and non-standard transactions.
- Ensure all agreements are aligned with risk appetite and commercial objectives.
- Implement contract lifecycle management processes, including obligation tracking and performance monitoring.
4. Intellectual Property (IP) Strategy
- Develop and execute a comprehensive IP strategy, including creation, protection, monetization, and enforcement.
- Oversee trademark and copyright registration and portfolio management.
- Advise on IP licensing, content distribution, and brand protection initiatives.
- Conduct and supervise legal research on IP and related regulatory developments.
5. Legal Operations & Infrastructure
- Build and manage a best-in-class legal function, including processes, systems, and documentation standards.
- Establish and maintain a centralized legal knowledge repository:
- Executed agreements
- Standard templates and playbooks
- Negotiation guidelines and legal precedents
- Drive efficiency through legal operations, automation, and process optimization where appropriate.
6. External Counsel & Dispute Management
- Select, instruct, and manage external counsel across jurisdictions.
- Oversee legal disputes, claims, and potential litigation, ensuring optimal outcomes.
- Manage external legal spend and budgets with strong cost discipline.
7. Cross-Functional Business Partnering
- Partner closely with internal stakeholders including Commercial, Experiential, Digital, Finance, Marketing, and HR teams.
- Provide proactive legal guidance to support new initiatives, market expansion, and product/service launches.
- Translate complex legal issues into clear, actionable business recommendations.
8. Group-Level Responsibility
- Provide legal oversight for the Company and all Group entities, ensuring consistency in legal standards, governance, and risk management.
Candidate Profile
Qualifications & Experience
- Qualified lawyer with minimum 10–15 years of relevant legal experience, including in-house leadership experience
- Relevant industry experience in Entertainment, Media, and/or IP Brand Management is highly preferred
- Demonstrated experience handling:
- Artist/talent agreements
- Venue and live event contracts
- Cross-border commercial transactions
- Fluency in English is a must, Fluency in other languages, e.g. Mandarin and Korean would be an advantage
- Proven leadership experience building or leading legal teams/functions
- Strong commercial acumen with the ability to balance legal risk and business opportunity
- Excellent negotiation, communication, and stakeholder management skills
- Proficient in using AI technology to streamline process and increase efficiency
