Interim Part-Time Employee Benefits Attorney

Major, Lindsey & Africa’s client has an immediate need for Part-Time Interim Executive Compensation and Employee Benefits Attorney

Overview: Our client seeks an Executive Compensation & Employee Benefits Attorney part-time for 20 hours per week

Company: Our client is a well-respected energy company

Experience: Successful candidates will have at least 6 years of relevant experience

Location: Houston Onsite 2 days per week, +4 hours remote

Key Responsibilities:

We are seeking short-term support to provide coverage across executive compensation and employee benefits matters, including ongoing advisory work as well as disclosure and compliance support.

The scope of work includes the following areas:

Executive Compensation

• Advise on the design and administration of executive compensation programs, including equity plans, incentive plans, deferred compensation, and employment and severance arrangements
• Support compliance with relevant tax code provisions, including 409A, 280G, and 162(m)
• Assist with proxy and SEC-related compensation disclosures, including CD&A, compensation tables, and pay-for-performance disclosures
• Provide guidance for compensation committee matters and governance practices

Health & Welfare Benefits – Priority

• Advise on the design and operation of benefit plans, including medical, dental, disability, life, and EAP offerings
• Ensure compliance with applicable laws, including ACA, HIPAA, COBRA, and Mental Health Parity requirements
• Review vendor and insurance contracts related to benefits
• Support initiatives such as wellness programs, dependent audits, and plan changes

Retirement Benefits

• Provide legal support for pension and 401(k)/savings plans
• Ensure compliance with ERISA and related regulations
• Review plan communications, including SPDs, notices, and reports
• Assist with benefits claims and appeals

Required experience:

• 6+ years of legal experience in executive compensation and employee benefits
• Strong working knowledge of:

Executive compensation structures and governance

ERISA and employee benefits law

Tax and regulatory compliance frameworks

• Experience supporting corporate legal teams and working cross-functionally
• JD in good standing
