An opportunity has arisen for an Associate or Senior Associate to join the Corporate Commercial Department in the Johannesburg office.

The Work

The role will involve drafting commercial agreements, the provision of opinions and corporate related work on complex mergers and acquisitions, joint ventures, and corporate reorganisations. The work will involve assisting clients in a broad range of sectors, but with a particular focus on private equity, venture capital, private capital, the hospitality sector, and real estate mergers and acquisitions.

The successful candidate will be expected to assume responsibility for working closely with clients, as well as managing elements of various transactions.

Key responsibilities

  • Assisting with negotiating and drafting of various agreements and corporate documents
  • Researching law and drafting opinions
  • Advising on mergers and acquisitions, corporate reorganisations, and other commercial transactions
  • Undertaking due diligence investigations
  • Attending to smaller matters, and larger matters, independently

Skills, abilities and experience

The successful candidate should be an admitted attorney with an exceptionally strong academic record, and significant experience in the corporate commercial department of a large law firm. In addition, the candidate should possess the following:

  • Minimum 3 years PQE in a corporate commercial department
  • Corporate M&A, private equity, and, broadly speaking, private capital transaction exposure
  • A thorough knowledge of all aspects of the law applicable to M&A and corporate law generally
  • Experience in commercial transactions and significant experience drafting agreements
  • A passion for corporate law and corporate transactions
  • Strong analytical skills
  • The ability to self-regulate
  • Excellent communication skills (both verbal and written)
  • The ability to work as a member of a team

It is essential that the candidate also demonstrates an ability to manage client relations, billing processes and practice management in general.

This is a demanding but stimulating position which will require working outside of normal office hours, when necessary.
