SK hynix is seeking experienced attorneys to join its Corporate Legal Team. Corporate Legal Team serves as a strategic legal partner to the business and plays a central role in the company’s most significant global initiatives, including cross-border M&A, strategic investments, joint ventures, capital markets transactions, corporate governance, and regulatory matters.
As a member of the team, you will work closely with senior management, business leaders, and external counsel to structure, negotiate, and execute complex transactions and strategic projects across multiple jurisdictions. This role offers the opportunity to advise on high-profile matters at the forefront of the semiconductor, AI, and technology industries.
Key Responsibilities
· Lead and support cross-border mergers and acquisitions, divestitures, strategic investments, joint ventures, restructurings, and other corporate transactions.
· Provide legal advice throughout the transaction lifecycle, including deal structuring, due diligence, negotiation, signing, closing, and post-closing integration.
· Draft, review, and negotiate a broad range of transaction documents, including purchase agreements, investment agreements, joint venture agreements, shareholder agreements, commercial agreements, and governance documents.
· Advise on capital markets transactions, financing arrangements, and other strategic funding initiatives.
· Support corporate governance matters, including board and committee activities, subsidiary governance, and related corporate actions.
· Coordinate and manage legal aspects of regulatory approvals and filings, including antitrust, foreign direct investment, national security, export control, and other cross-border regulatory reviews.
· Partner with business, finance, tax, treasury, compliance, and other internal stakeholders to identify legal risks and develop practical solutions.
· Manage and coordinate external counsel across multiple jurisdictions to ensure efficient and effective legal support.
· Monitor legal and regulatory developments affecting the company’s global business and strategic initiatives.
· Provide strategic and commercially focused legal advice to support the company’s long-term growth objectives.
Qualifications
· J.D., LL.B., or equivalent law degree and admission to practice law in the US or other common law jurisdictions.
· Minimum of 3 years of experience at a leading international law firm and/or multinational corporation.
· Strong experience in corporate transactional matters.
· Demonstrated ability to independently manage complex cross-border transactions and multiple stakeholders.
· Excellent drafting, negotiation, communication, and project management skills.
· Strong business judgment and the ability to provide practical, solution-oriented legal advice.
· Fluency in English and Korean required.
· Experience advising technology, semiconductor, AI, infrastructure, or other highly regulated industries is a plus.
