Role Overview

We are seeking a meticulous and experienced Company Secretary to manage our corporate governance framework, statutory compliance, and legal-labour obligations in India. The ideal candidate brings a deep understanding of the Companies Act, SEBI regulations, and Indian labour legislation, and is equally comfortable in boardrooms and before regulatory authorities.

Position Responsibilities

Corporate Secretaryship

  • Plan, convene, and minute Board, Committee, and General Meetings (AGM/EGM) in full compliance with the Companies Act, 2013.
  • Maintain statutory registers (members, directors, charges, debentures) and ensure timely MCA/ROC filings (e-Forms MGT, AOC, DIR, etc.).
  • Draft and review resolutions, notices, explanatory statements, and secretarial reports.
  • Conduct Secretarial Audits and prepare Secretarial Audit Reports under Section 204.
  • Manage SEBI/LODR compliance for listed entities (if applicable), including SAST, SEBI PIT, and ESOS obligations.
  • Handle incorporation, restructuring, mergers, share issuances, and capital restructuring exercises.
  • Liaise with MCA, ROC, NCLT, NCLAT, SEBI, stock exchanges, depositories (NSDL/CDSL), and other statutory bodies.
  • File FLA returns, FC-GPR, FC-TRS, and other FEMA/RBI filings as applicable.

Legal & Labour Relations

  • Ensure compliance with key labour legislation: Factories Act, POSH Act, Minimum Wages Act, Shops & Establishments Act, EPF & ESI Acts, Contract Labour (R&A) Act, and the four Labour Codes (2019–2020).
  • Represent or coordinate with external counsel before Labour Courts, Industrial Tribunals, and Conciliation Officers.
  • Monitor legislative updates and proactively advise management on the implications of new labour law reforms.
  • Coordinate with statutory and internal auditors for cross-functional compliance matters.

Required Qualifications (Required)

  • Mandatory: Associate Member of the Institute of Company Secretaries of India (ACS).
  • LLB / LLM is strongly preferred; B.Com / BBA with ACS is eligible.
  • 3–6 years of post-qualification experience in corporate secretarial practice with demonstrable exposure to Indian legal and labour compliance.

Key Skills & Competencies

Technical: MCA21 / V3 Portal, Companies Act 2013, SEBI/LODR, FEMA/RBI, Labour Codes 2020, POSH Compliance, EPF & ESIC, Contract Drafting, Legal Research.

Soft Skills: Stakeholder management, negotiation, analytical thinking, strong written communication, discretion, and confidentiality.

Preferred Qualification (Desired)

  • Prior experience in a listed company, large private limited entity, or a law firm specialising in corporate/employment law.
  • Exposure to corporate restructuring, or cross-border transactions with FEMA implications.
  • Working knowledge of state-wise Labour Code implementation readiness.
  • Familiarity with environment and safety statutes (advantageous for manufacturing/industrial sectors).

Typical Education & Experience

  • Education/experience typically acquired through a Bachelor's degree in LLB / LLM is strongly preferred; B.Com / BBA with ACS is eligible.

Reporting Structure

  • Reports to: Legal Counsel / Board of Directors (as applicable).
  • Works closely with: HR, Finance, Operations, and external legal counsel.
  • Expected to maintain an independent and objective stance when advising the Board on governance matters.
