Lawyers on Demand is a global legal resourcing business that works with many of the world’s biggest corporations. Currently, I work with its freelance consultant team, providing regulatory, compliance, and procurement advice to sales teams across its MNC clients, often in the SaaS sector. Key responsibilities include: - Cross-border transactional drafting and negotiations within the APAC regions, including NDAs, Master Subscription Agreements, Licensing Agreements, supplementary agreements, settlement agreements, and amendments - Legal research, regulatory and compliance advice on a wide range of novel and challenging issues regarding global information security and privacy laws, including the European AI Act, the European Cybersecurity Act, and GDPR. Analysing risk, and providing appropriate recommendations - RFP responses, primarily centring around licensing issues including delivery and distribution of AI programs and other software, and high level MSA negotiations - Drafting intercompany agreements and incorporation agreements for international entities, including subsidiaries, affiliates, and parent companies - Advice on enforceability of judgments and arbitral awards across the Asia Pacific region - Maintaining and updating electronic corporate governance documentation repositories, including Evisort, Salesforce, and Google Drive
Workday is a Human Resources Information System, operating via cloud-based delivery. Formerly, I was in its in-house legal team as a Contract Analyst. In this role, I have served as a focal point for all of Workday’s Asia Pacific and ANZ pre-sales and post-sales contracts, from negotiations and amendments, to template generation and refinement. Key responsibilities include: - Management, drafting, and negotiation of a wide range of SaaS end user and consumer contracts including NDAs, Professional Services Agreements, Master Subscription Agreements, consortium agreements, novation agreements, supplementary agreements, settlement agreements, and amendments - Partner closely with local and international stakeholders in project management and risk management, including data protection, ethics, and compliance (GDPR, PDPA, MAS Act, APRA etc), to deliver projects against short timeframes and setting appropriate priorities - Provide knowledge of aspects of applicable laws and solutions to commercial issues, including but not limited to data governance, cybersecurity, and contracts with public sector and financial services customers - RFP/RFQ/RFI responses, including responses to Codes of Conduct - Provide continuous improvement of standard form agreements, playbooks, contract templates, and legal processes contract template development, and identifying and resolving opportunities to simplify workflows and reduce contractual friction - Generation and amendment of contract templates, and the administration of all contracts in my region - Training of regional Contract Operations and Sales teams
