• Researched and prepared notes on: a) restructuring strategies including share buybacks and capital reduction; b) ESOP structuring with OPI and ODI implications; c) loan-to-equity conversion under Section 62(1) and preferential allotment norms; and d) DRHP compliance under permits and licenses. • Assisted on allied commercial and regulatory research such as: a) draft guidelines for Virtual Power Purchase Agreements (VPPAs); b) FEMA aspects of setting up Global Capacity Centres (GCCs); c) spectrum allocation under telecom law and its classification as a natural resource; and d) payment aggregator compliance under PAPG Guidelines and Section 23 of the PSSA Act. • Researched and drafted relevant SEBI, RBI, IT and M&A updates for the firm’s publications.
• Researched and prepared notes on key corporate and commercial issues, including: a) tariffs with respect to cross border M&A; b) taxability of capital receipts; c) FDI limits in the railway sector; and d) amendments to the corporate insolvency process in real estate. • Researched and prepared notes on data protection laws, including: a) GDPR classification of lawyers as processors vs. controllers; b) safeguards against employee breaches of confidentiality; c) admissibility and integrity of digital evidence; and d) cybercrime investigation procedures. • Assisted in drafting and reviewing of shareholder agreement, power purchase agreement, data processing agreement and licensing agreement.
