- Assist with the launch of private equity funds, including drafting and reviewing limited partnership agreements and offering memoranda; drafting, reviewing and assisting in the negotiation of services provider agreements (including alternative investment fund management agreements, investment management agreements, depositary and paying agent agreements and central administration agreements); performing launch filings with the Luxembourg supervisory authority; drafting launch resolutions and holding board meetings. - Assist with the closing of private equity funds, including reviewing and drafting subscription documents; reviewing and assisting in the negotiation of side letters; performing closing filings with the Luxembourg supervisory authority; drafting closing and holding board meetings. - Advise on regulatory and compliance issues arising under European and Luxembourgish securities and investment funds laws.
