Leading on a variety of commercial legal matters including drafting, reviewing and negotiating commercial agreements to meet the needs of clients across a range of sectors. Advising and assisting clients in the Charity and Education sectors including in respect of setting up, incorporating/converting and governance issues.
Supporting a range of different corporate entity types, from establishment to dissolution as well as everything in between; including advising on corporate governance, directors’ and trustees’ duties and obligations, working on acquisitions and disposals of shares and assets, corporate reorganisation, share capital changes, company secretarial duties. Drafting, reviewing and negotiating commercial agreements and terms and conditions for use in a range of different scenarios, including e-commerce B2B and B2C as well as distribution and franchising agreements. Heading up the Charity and Not for Profit sector, providing advice on the different types of charity structures, setting up and registering charities and converting/incorporating unincorporated charities to CIOs, advising trustees as well as merging and linking charities, reviewing and drafting grant agreements, training in changes to the law as well as setting up trading subsidiaries. Also, involvement in the Education sector covering aspects such as academisation, commercial agreements/terms and conditions and mergers.
Working with various business stakeholders and being an integral part of the broader EMEA commercial legal team, representing the UK and Ireland. Reviewing and refining commercial agreements with third parties, advising on promotions, training key parts of the business in competition law, support in data privacy.
