- planning, coordinating and supervising all the corporate activities - assistance to the corporate bodies (meetings organization, minutes drafting, secretarial functions, management of the information flow between bodies) - supporting the management in the definition and implementation of the Group’s corporate governance - coordinating and advising subsidiaries’ corporate affairs functions; reporting to the parent company; assistance in assuring the information flow between the different entities pursuant to the Group’s corporate procedures - supporting the management in the implementation of the Group’s strategic plans through the structuring and execution of M&A transactions and corporate reorganizations (including the merger with ASTM S.p.A. effective on 31 December 2019) - providing corporate assistance to the management in handling shareholders/joint venture relationships related to Group’s strategic investments - supporting the Investor Relations in the engagement with proxy advisors - supporting the Remuneration Committee and HR in the definition of the remuneration policy, including structuring and implementation of incentive plans - supervising all the activities pursuant the Regulation EU 2014/596 on market abuse - management of the relationship with Consob and the Italian Stock Exchange - supporting in the updating of the organizational model pursuant to D.lgs. 231/2001; managing the relation with the Supervisory Board - coordinating and supervising all the activities pursuant to Regulation EU 2016/679 on data protection (“GDPR”); managing the relation with Data Privacy Officer and data subjects - coordinating and management of the external consultants - organization of training courses
