• Represent franchisors in franchise system development, including drafting Franchise Disclosure Documents (FDD), coordinating multi-state registration and exemption filings, and advising on franchisor entity structuring and ongoing FTC compliance • Lead formation and structuring of private equity funds and hedge fund master-feeder structures, advising on fund governance, LP/GP arrangements, regulatory compliance, and investor subscription and side letter documentation • Represent clients in domestic and cross-border M&A transactions, including share exchange agreements, asset acquisitions, corporate restructurings, and negotiation of transaction documents across U.S. and offshore jurisdictions (Cayman Islands, Hong Kong, BVI) • Counsel issuers and underwriters on IPO preparation and capital markets transactions, including drafting prospectuses and S-1/F-1 registration statements, coordinating SEC review processes, and advising on ongoing disclosure and reporting obligations under U.S. securities laws • Provide tax counsel on cross-border transactions and fund structures, including analysis of FIRPTA, §453 installment sale treatment, §367 outbound transfers, trust and estate tax planning, and withholding obligations for U.S. and non-U.S. clients • Advise clients on trademark prosecution, IP portfolio management, and brand licensing arrangements in connection with domestic and international business operations
