• Team Leadership and Operations: build and lead a cross- functional compliance team. • Governance and Strategy: implementation of comprehensive compliance management framework in the petrochemicals, oil and gas industry. • Regulatory Compliance: ensure that organisation meets all legal and regulatory requirements, specifically on AML, CTF, ESG, anti-bribery, human rights, data protection, antitrust and sanctions. • Risk Management and Controls: identify, assess and monitor compliance risks across the organisation. Integrate compliance into enterprise risk management (ERM) framework. • Culture, Training and Oversight: foster a compliance aware culture across the organisation, deliver training and awareness programs. • Advice and Defense: proactive guidance on regulatory obligations, ethical and industrial standards. Represent the company in interactions with regulators, auditors and investigative bodies. • Board and Committee Support: implement and development of Board evaluation and Board audit procedures and manuals. Acting as secretary to various committees reporting to the Board and CEO. • Board Policies and Controls: develop and oversee policies and procedures relative to Board operation and decision making.
• Team Leadership and Operations: lead a team of multi-jurisdictional professionals across the European Union and the United States. • Contract Negotiation: draft, review and negotiate master service agreements (MSA), supply chain, outsourcing and licensing agreements in the automotive and consumer electronics business. • Risk Management: identify, assess and report of legal risks relative to global operations. Conduct compliance audits, reviews and investigations. • Global and Cross-Functional Coordination: coordinate contract negotiations across multiple jurisdictions including US, EU, PRC and India. Balancing consistency with local requirements. Coordination of global product recall campaigns due to marketing products with defective components. • Governance and Oversight: establish, oversee and enforce contracting standards and templates. Implement contract lifecycle management processes (CLM). • Compliance, Ethical and Professional Conduct: promote a culture of compliance and ethical practice within the organisation. Conduct investigations on corporate misconduct and fraudelent activities.

Represent the organisation before courts, administrative and regulatory bodies. • Reorganisation and Structure Design: reorganisation of the legal department by moving a group of external counsels to in-house. Conduct skills and capability assessment of new hires. Design structure, report and escalation lines of the department. • Fraud Investigation: ensure the organisation's fraud investigation process is compliant, ethical and legally defensible. Align investigations with corporate governance frameworks and whistleblower policies. Reduce exposure to unwanted PR publicity and media attention as to investigations.
• Team Leadership and Organisation: leading a team of lawyers and compliance professionals in the consumer electronics industry. • Contracting, Commercial and Business Enablement: oversee negotiations and strategic supply, licensing and distribution agreements across key product lines (semiconductors, displays, appliances). Implement contract templates, maintain standardized contracting playbooks across all business units. Ensure global compliance with antitrust and fair-trade laws. Provide guidance on data privacy, AI ethics and supply chain transparency. Negotiate large scale investments with comprehensive insurance coverage. • Litigation, Dispute Resolution and Government Relations: protect Samsung Electronics' legal interest and reputation. Manage litigation portfolio, antitrust actions and regulatory investigations. Promote arbitration and manage disputes efficiently. Liaise with government bodies, regulators and industry associations. Lead crisis response teams in high risk events exposed to publicity and media attention. Oversee and negotiate state aid programs and government subsidies. • ESG, Sustainability and Corporate Responsibility: advise on ESG related regulations including supply chain due diligence, labor rights and human rights initiatives. Lead a high performing CSR team in the organisation. • Leadership and Talent Management: budget oversight, manage functional legal teams in the region, promote continuous learning and professional development. • Compliance and Organisational Awareness: define compliance leadership and accountability structure. Identify and comply with all laws, regulations relevant to operations. Embed compliance culture through education. Draft, review and update compliance related policies, procedures and manuals (PPMs). Oversee compliance with global regulatory and anti-bribery initiatives including GDPR, FCPA, UK Anti-Bribery Act.
• Transaction Negotiation and Support: negotiation, draft, review of transactions and transaction documents including share purchase agreements, asset transfer agreements, MoUs and term sheets. Coordinate and assist due diligence reviews, summarise findings, prepare reports and closing documentation. • Due Diligence: review target company's corporate records, contracts, IP, litigation, banking and regulatory documents. Identify compliance gaps, material risks and disclosure issues. Draft due diligence reports and summaries for client review. • Corporate Advisory: advise clients on incorporations, restructuring, liquidation and winding up procedures. Prepare Board and Shareholder's resolutions. Assist in filings, approvals and post transaction compliance. • Legal Drafting and Negotiation: draft transaction documents, commercial and employment contracts. Review mark-ups and negotiation clauses.
