I am senior counsel in Davis Polk’s London office with an international practice in the areas of mergers and acquisitions, cross-border securities offerings, international investments and joint ventures, international privatizations and general corporate advice, with an emphasis on representing European clients. I am also an Adjunct Professor at the Goethe University in Frankfurt where I teach courses on the financial crisis and financial reform and on comparative mergers and acquisitions at the Institute for Law and Finance. At the University I have co-chaired conferences on the European Depository Insurance System, resolution of financial institutions and financial utilities, bank ethics and culture, Basel III, the European Capital Markets Union, Too Big to Fail and collective action clauses in sovereign bonds. I am also a member of the Advisory Committee to the Finance Forum of the Salzburg Seminar, for which I also acted as program director for two years. I speak English, French, German and Italian.
I was a partner for 26 years with an international practice in the areas of mergers and acquisitions, cross-border securities offerings, international investments and joint ventures, international privatizations and general corporate advice, with an emphasis on representing European clients. While in the New York office, I spent six years concentrating in mergers and acquisitions. I have spent over 20 years in our European and Asian offices. From 1977 to 1979, I was in our Paris office. In 1987, I opened our Tokyo office, where I practiced until 1990. I also opened our Frankfurt office in 1991, where I practiced until 2009. I speak French, German and Italian. I have been active in securities transactions for issuers in Asia and Europe, particularly on initial public offerings and privatizations in Germany, Austria, Italy and Switzerland. He has represented bidders and targets in cross-border acquisitions throughout Europe, in particular in France, Germany, Italy, Switzerland, the United Kingdom and the United States. I have also represented European and Asian issuers in U.S. debt private placements.
I teach courses relating to the financial crisis and financial reform and international mergers and acquisitions.
