Experienced attorney negotiating a broad range of commercial transactions with highly regulated customers, including SaaS subscription agreements as well as partner agreements with distributors, resellers, and managed security service providers, requiring complex risk analysis of both upstream and downstream legal implications. • Drafted, reviewed and negotiated SaaS agreements, DPAs, and BAAs • Served as lead attorney supporting all Enterprise and Commercial Sales teams in the Southeast, U.S. • Provided counsel to internal stakeholders, including Sales, Privacy Legal, IP Legal, Field Security, Product Operations, Sales Operations, and Finance on deal strategy, customer requests, and risk tolerance • Utilized an in-depth understanding of the impact of data privacy law (e.g., GDPR, CCPA, etc.) on regulatory requirements for data collection, processing, transparency, and legal obligations for international data transfers to address customers’ questions and concerns • Initiated and drafted the ServiceNow Sales Guide as a legal resource in “non-legalese”, empowering Sales to understand every provision in SaaS agreements, common customer requests for each provision, and ServiceNow’s response to such requests • Spearheaded Renewal Guidance initiative and lead trainings to all U.S. Sales Operations, Renewals, and Commercial Legal teams, establishing tangible guidance on whether Legal engagement is required for existing agreements at time of renewal, materially reducing renewals sales cycles and expenditure of Legal resources
o Drafted service descriptions for all data cloud products and templates for Oracle Data Cloud line of business (e.g., inbound and outbound data licensing agreements, ordering documents, and sales guides) o Negotiated data licensing agreements for ad-tech services for the most strategic accounts in the Oracle Data Cloud line of business. Designated the primary attorney for all deals in the Oracle Data Cloud Retail vertical in 2018 o Advised internal clients (e.g., Sales, Products, Approvers, etc.) on: Oracle’s risk tolerance and deal strategy; responses to customer requests/concerns; GDPR compliance (e.g., applicability, lawful bases for processing personal data, transparency requirements, etc.); and U.S. regulatory and self-regulatory data privacy requirements o Led data privacy law initiative to keep the commercial legal teams abreast of all data privacy law developments o Oversaw executive level initiatives to determine whether Oracle has the rights under various contracts to use certain data for specific purposes
The main distinction between the Counsel and Contract Negotiator roles is that I was the primary attorney on all of my accounts as Counsel, whereas I was the supporting attorney in my role as Contract Negotiator
o Managed the ETR team and worked with other regions to draft global ETR process documents and to determine the global process (including each region’s roles) for performing post-operational integration acquisition agreement reviews o Delivered Micros acquisition ETR trainings to European and Asian Deal Management organizations o Reviewed commercial contracts for consulting, SaaS, and data licensing to identify high risk provisions and advise on remediation strategies
