Originally from Mechanicville, New York, and now living in Albany, Nicholas is an Associate working in our Business Law and Transactions and Health Law departments. Joining O&A in August of 2021, Nicholas focuses largely on business law topics and cannabis. Cannabis law is Nicholas’ passion, and he strives to provide guidance to applicants and licensees (including Conditional Adult Use Retail Dispensaries (“CAURD”) and Adult-Use (“AU”)) who are uncertain and overwhelmed by the onerous requirements imposed by New York’s Marijuana Regulation and Taxation Act (“MRTA”) and the regulations implemented by New York’s Office of Cannabis Management (“OCM”). Additionally, Nicholas advises clients who are facing enforcement actions imposed by OCM. In addition to cannabis, Nicholas also focuses on commercial litigation (property and/or business disputes), general compliance (corporate, employment, Medicaid/Medicare), mergers and acquisitions, contract drafting and negotiations, general business formation and compliance, transactional and regulatory advice for both business and healthcare clients, and landlord-tenant disputes. Nicholas previously worked as a Legal Clerk to Martin Kehoe, an Impartial Hearing Officer for New York State Special Education cases. While working with Mr. Kehoe, Nicholas assisted in drafting and issuing decisions and various orders to aid in the implementation of Individualized Education Programs (“IEP”) for school-aged students with disabilities. While in law school, he served as an Intern to Corporate Counsel for Beech-Nut Nutrition Company, where, in addition to assisting Beech-Nut’s Corporate Counsel in managing a contract repository, he researched legal issues including data privacy, corporate governance, b-corporation standards, and litigation topics including foreign object and equal employment opportunity claims. Originally from Mechanicville, New York, Nicholas enjoys seeing concerts, stand-up comedy, and spending time with his cat, Courthouse.

• Assisted in managing online contract repository and streamlining contract management process utilized by corporate counsel and project managers throughout the international corporation • Acknowledged and proofread internal and external contract requests • Assisted in redrafting corporate document templates including non-disclosure agreement, service agreement, California Consumer Privacy Act (CCPA) affiliated documents including Beech-Nut’s Privacy Policy), and an “opt-out” from data collection form • Maintained formulated Excel spreadsheets to address roadblocks in corporate dealings • Assisted in addressing legal claims against the company ranging from advertising, pesticide, foreign objects, and equal employment opportunity claims (EEOC) • Kept track of corporate filings carried out by the Corporation Service Company (CSC) • Researched the requirements for a corporation to file as a benefit corporation (B-Corp), and advertising and trademark claims faced by the corporation • Organized digital and physical copies of corporate books following past mergers
