Review and negotiate a range of Offshore Wind related contracts with the client and subcontractors.
• Provide legal advice and advice on best practice in contracting on a range of commercial agreements such as two tier and three tier master agreements, consulting agreements, wells services agreements and EPC agreements. • First point of call for procurement practitioners if advice is needed with contract template selection, negotiating supplier edits, or executing risk-appropriate terms and conditions across the upstream and downstream organizations. Uphold and reinforce Ways Of Working and ensure contracts align with company objectives and legal and regulatory requirements for the execution of appropriate and compliant contracts. • Development and improvement of processes and guides for negotiating, governing and managing procurement contracts with suppliers. • Support the Modernisation and Transformation initiative by reviewing current contracts, and working with key stakeholders such as legal, Tax, procurement teams and various subject matter experts to simplify, create risk appropriate and commercially beneficial contract templates. • Support the Modernisation and Transformation initiative by delivering contracts and a process that can digitised.
• Review, draft and negotiate the commercial and legal terms of a range of contracts relating to either a research project or a research service such as Technical Service Agreements, Subcontracts, Consultancy Agreements, Consortium/Collaboration Agreements, Studentships, NDA’s, Novations and Amendment Agreements. • Answer legal queries and questions regarding intellectual property rights, confidentiality, publications and indemnity • Assess and manage contractual risk, providing advice on risk mitigation • Update and maintain contract folders and database • Manage and lead the completion of contracts by liaising with internal contacts such as the knowledge exchange lead, finance and academics as well as external contacts
