Experienced corporate paralegal with a demonstrated history working with technology companies in all stages of growth ranging from incorporation to IPO and beyond. Skilled in wearing many hats ranging from corporate governance, securities filings, international subsidiary management, stock administration and transactional work.
Manage the company’s stock program and handle all equity related matters, while acting as the face of stock, which requires handling the never ending flow of employee communication in a diplomatic manner, as well as working side-by-side with the General Counsel on corporate governance, international subsidiaries and various transactions, including but not limited to liaising directly with the Board, minute book maintenance, written consent coordination, tracking related parties transactions, the annual preparation of D&O questionnaires, and putting out any fires as needed, in addition to KYC requests, insurance renewals and working closely on the company's initial public offering where I quarterbacked the whole diligence and lock-up agreement process, among other things.
Being the second member of a very small legal department, I assist with all general corporate matters and beyond, from handling board minutes; reviewing contracts/managing our contracts databases; to overseeing our growing global subsidiary structure and domestic qualifications; and taking on our real estate and patent portfolios to name a few. In conjunction with this, we recently completed our IPO, which brings with it a whole new array of corporate governance responsibilities, which include reviewing our ’34 Act reports, managing our insider trading program, staying on top of Section 16 transactions and, not to mention familiarizing myself with Reg FD, and finally acting as a liaison across all functional groups company-wide and interfacing directly with senior-level executives and a whole suite of legal services providers.
