Lead procurement counsel for all technology purchases and systems integrations, including SaaS platforms, cloud and on-premises software, managed and professional services, data licensing and use agreements for multi-agency international advertising group. Negotiate and draft high volume of commercial sales transactions for media, creative, public relations, pharmaceutical, and software/website development services (CX/UX) for clients in North America and Europe, including agency Master Services Agreements, Statements of Work, Data Processing Agreements, and various client addenda including Information Security, Pharmacovigilance, Artificial Intelligence, and Privacy. Coordinate with key stakeholders including Information Security and Compliance teams to assist Third Party Risk Management (TPRM) from reputational, financial, privacy and information security perspective, including utilization of the Onetrust platform. Counsel internal stakeholders on considerations and risk management involved with vendors that utilize Artificial Intelligence (AI) and the use of generative AI in creative work. Draft and revise client and vendor facing templates. Counsel group health plan on applicability of HIPAA and compliance with HIPAA Security Rule, and other aspects of regulatory compliance for employee benefits.
Negotiate sales contracts for on-premises, cloud, and incident response offerings; including EULA, channel agreements, Data Processing Agreements, and Service Level Agreements. Worked cross functionally to create, develop, and negotiate Managed Services templates. Negotiate and manage risk assessment for all vendors. Lead cross functional team to develop and implement procurement process/supplier vetting, including related policies. Tracked compliance with supplier diversity requirements. Directed the identification, vetting, negotiation, and onboarding of the organization’s first Contract Lifecycle Management platform, and contract intake process. Created and maintained standard purchasing side templates for software, services, and marketing, including Information Security Addendums. Review and update company Privacy Policy and Terms of Service. Researched issues related to compliance with international federal, and state privacy and data laws, including GDPR, CCPA/CPRA, and emerging state equivalents.
Negotiated software license and subscription terms for software (both on-premises and cloud), system integration, and technology infrastructure agreements, including End User License Agreements, Statements of Work (SOW), Service Level Agreements (SLA), Security Addendums, and Distributed Antenna System agreements, with an emphasis on Telecommunications and Public Safety contracts. Negotiated contracts related to the transformation of NYC’s 911 system from analog to digital, and other initiatives integrating new technologies in support of law enforcement. Collaborated with Information Security and other operational teams to revise and adapt cybersecurity contract provisions, (including provisions regarding Security Incident management and data security) and policies to reflect emerging industry standards and best practices for critical systems. Assist business teams in monitoring contract compliance and proposing enforcement strategies.
Negotiated software license, subscription, support, non-disclosure, and HIPAA business associate agreements for ultrasound reporting software. Counseled software vendor client across full range of topics ranging from technology sector non-compete and non-solicitation, compliance with HIPAA security rule and GDPR for business associates, protection of intellectual property, legal implications of cloud computing and software-as-a-service (SaaS) in healthcare. Drafted and revised client’s Master Services Agreements and corporate documents to adapt to changing needs and legal environments. Created the company’s first SaaS agreement template following transition from an on-premises model.
