• Draft, negotiate, and manage international commercial agreements (supply, distribution, agency, licensing, sales, procurement, NDAs), ensuring alignment with business objectives and risk appetite. • Support corporate compliance and governance, with direct involvement in Italian Legislative Decree No. 231/2001, including implementation and monitoring of the organisational and management model and internal controls. Member of the Organismo di Vigilanza, overseeing the effectiveness of the Model 231/2001, Code of Ethics, and internal compliance policies. • Lead legal support for licensing and design assignment agreements with international designers and creative partners; manage the company’s IP portfolio, including royalty structures, filing and protection strategies, and enforcement actions in coordination with external counsel. • Coordinate with external counsel on IP infringement, unfair competition, and contractual disputes, contributing to litigation strategy and settlement assessment. • Provide day-to-day legal support to commercial, procurement, marketing, quality, and management teams, translating legal risk into practical business solutions.
