Mr. Miller current practice focuses primarily on representing public and private companies in general corporate/securities matters, corporate finance and mergers and acquisitions. He has substantial experience in drafting and filing and counseling clients on SEC compliance issues, including the Sarbanes-Oxley Act of 2002 and the 1934 Exchange Act reporting obligations. He works with private and public companies, investors and broker-dealers in the private and public offering of equity, debt and convertible securities. He has extensive experience in preparing SEC registration statements, exchange listing applications, asset and stock purchase agreements and structuring reverse merger transactions. Mr. Miller also has significant expertise in preparing shareholder agreements, limited liability company operating agreements and employment agreements. He also practices real estate law, preparing and reviewing commercial sale agreements, leases and subleases. Mr. Miller also has extensive experience in the area of litigation. He has been involved in numerous complex litigations in both the State Courts and many different Federal District Courts. These actions have involved many diverse areas of law, including actions arising under the federal securities, commodities, banking, bankruptcy, anti-trust, tax and aviation laws. He has also handled numerous matrimonial actions and appeals in the State and Federal Courts. Mr. Miller received his B.A. degree with high honors from the Pennsylvania State University in 1972 and his J.D. degree with honors from the George Washington University in 1975.
