I serve as Vice President, A. General Counsel EMEA for Gates Corporation. Gates Corporation is a manufacturer of power transmission belts and fluid power products. The company’s products are used in diverse industrial and automotive applications where the cost of failure is very high relative to the cost of the products. In addition, I am a Member of the Board of Directors of our European HQ in Luxembourg and a member of the global senior leadership team. I have over 15 years’ experience as an attorney, in-house counsel and director with a background in both corporate law and M&A. Chief legal advisor to regional Board of Directors, regional CFO and senior management. First point of contact for all global M&A activities, update M&A pipeline and review/assess targets in conjunction with business development team and business unit leaders. Oversee legal affairs in the EMEA region, including all corporate governance, contracts, department budget, compliance and ethics, financial transactions, and provide leadership and direction to regional legal staff and outside counsel. Manage litigation portfolio and represent the company in all aspects of litigation. Oversee outside litigation counsel, implement and administer claims handling procedure. Advised senior management staff and Board of Directors in day-to-day operations and on complex commercial matters. Lead lawyer for M&A projects in EMEA, negotiated multi-million Euro contracts and ensured compliance with and enforcement of contractual terms. Managed and represented the company in litigation, led and developed multinational teams.
Chief legal advisor to the regional president and senior management on all issues. Implemented all practices and policies of the legal function, served as corporate secretary and liaison and advisor to the board of executives. Conducted risk and litigation assessments and developed resolution strategies in major cases. Drafted, reviewed and negotiated international agreements (e.g. distribution, reseller, sourcing, OEM, R&D, licensing, service, intercompany agreements). Oversaw insurance portfolio and managed insurance claims.
Senior legal counsellor within the International headquarters in Switzerland. Provided legal advice to organizational leadership concerning the business, legal and regulatory issues associated with contracts and commercial agreements. Drafted, analyzed, reviewed and updated all commercial transactions. Led the legal and compliance international integration of companies and business assets (share / asset deals) acquired from GE. Responsible for distributor compliance and management and implemented a data protection process overseeing direct and indirect sourcing activities
Reported directly to the CFO on greenfield projects in the EMEA region with legal responsibility for international greenfield (turnkey and real estate projects), M&A and joint venture projects in Europe, Africa, Middle East and additionally took over project management tasks. Provided legal support to operational business units globally. Examined, drafted and negotiated complex international contracts and agreements. Conducted compliance trainings (Anti-Trust, FCPA, UK-BA). Successfully restructured the Intellectual Property Department including the development of new R&D, license and co-operation templates; transferred patent portfolio into new IP law firm and replaced IP admins.
