Mergers & Acquisitions / Private Equity / Debt Capital Markets Areas of work: M&A, DCM, joint ventures, corporate amalgamation and restructuring documentation • Acted for and advised Global Premium Hotels Limited (“GPHL”), a major hotel conglomerate and SGX-listed company in Singapore, in JK Global Capital Pte. Ltd.’s public acquisition of GPHL for approximately S$383.98 million. • Acted for and advised Jun Jie Development, on the private acquisition of shares pertaining to Cityvibe, a four-storey commercial building, in a deal that values the property at S$71 million. • Acted for Fragrance Group Limited in drafting the supplemental information memorandum in connection with the S$1 billion multicurrency debt issuance programme, and the subsequent note issuance of the GBP45 million 3.25% fixed rates notes. • Advising a leading fintech-focused venture capital fund which focuses on fintech-ecosystems across the world, in connection with its fund management licence, and the drafting and amending of their investment management agreements. • Acted for a multinational corporation with a chain of fast food restaurants, with an estimated market cap. of S$6.9 billion, in a joint venture with a Singaporean-based company, to establish its presence in Europe. General Corporate / Commercial / Employment / Restructuring Areas of work: (i) distributorship, supply and services arrangements, (ii) consultancy agreements, (iii) non-disclosure agreements, (iv) joint venture agreements, (v) corporate governance issues, (vi) charities, (vii) private educational institutes and (viii) corporate secretarial work. • Advising a registered charity and private educational institute, in the provision of on-going general advisory work in connection with the Charities Act, Private Education Act and employment law etc. • Acted for a registered charity and private educational institute, in its group restructuring.
