Represent venture funds ranging from $50M - $2B+ AUM in equity financing transactions and exits; advise venture-backed startups on general corporate matters and corporate transactions. Deal sheet includes dozens of financings per year, ranging from seed investments of $25K to $30M+, and public/private acquisitions up to $400M+ in announced value.
Advise companies and venture investors on general corporate and transactional matters, including: -Counseling startups on entity formation, corporate governance, basic employment and equity compensation arrangements, and commercial agreements. -Advising startups and investors in securities financings ranging from $50K convertible note investments to $30M+ preferred stock issuances; and public company term loan facilities up to $100M. -Mergers & Acquisitions transactions, including multiple startups selling to public and private technology companies, public companies acquiring startups, asset sales, and stock sales (with deal values ranging from several million dollars to $100M+).
Contract in-house counsel reporting to the Chief Legal Officer. Retained primarily to assist in the negotiation, drafting and closing of a credit facility and related issuance of preferred stock. Other responsibilities include acting as product counsel for the company’s participation in the initial public offerings of First Data and Square, assistance with compliance matters related to the company's broker-dealer function, employment matters, and negotiating and reviewing commercial contracts.
Member of small consumer business development team focused on sourcing, negotiating, and implementing commercial partnerships and agreements with online media companies, retailers, and consumer internet companies. Responsible for negotiating and drafting content licensing partnerships, API and product integration partnerships, and partnerships to grow organic and referral traffic.
Imagine K12 (now the education vertical of Y Combinator) advises and invests in early stage education technology startups. Its portfolio includes over 60 companies that have collectively raised more than $150 million. As Imagine K12's first partnership manager, I helped build out a network of tech-focused educators, administrators, and other education stakeholders; and oversaw its Teacher-in-Residence program. I also established and developed relationships with county offices of education, school districts, and charter management organizations. In addition, I provided general operational support, helping to evaluate and select companies for the program and using my legal background to advise companies on basic securities law, entity formation, and tax issues, and to assist founders with school district RFP and procurement processes.
