I have had the pleasure of working here at Pedcor now for over 10 years, starting immediately after graduating from Indiana Univeristy - Bloomington in 2004. I began my career as a Paralegal in the Company's Legal Department and have since graduated from law school, passed the Indiana BAR Exam and joined the Legal Department as Vice President & Counsel in May of 2009. I enjoy the day-to-day challenges of practicing as an In-House attorney and hope to continue with Pedcor while developing multiple areas of expertise. Specialties: Real Estate transactions of all types (including familiarity w/ Title, Survey, Enviro); Setup and Negotiation of Joint Venture projects in IN, CA & AZ; Familiarity w/ IRS Section 42 and Low Income Housing Development; Various HUD Programs involving 223(f) and 223(a)(7) Financings, Both Retail and Commercial Leases.
* Experience w/ HUD related financings including 223(f) & 223(a)7 programs and requirements for multi-family housing * Negotiated/Drafted all retail-leases within Indiana Design Center and Carmel City Center (approx. 165,000 sq. ft.). * Drafting of finance documents to memorialize re-financings, debt restructurings and other collateral agreements. * Participated in entity formations and mergers involving both LLC’s and Limited Partnerships (located in IN, AZ & CA). * Negotiate and draft Purchase Agreements for various real estate transactions (both residential and commercial) * Involved in multiple real estate joint ventures including negotiation of Operating Agreements, determination of appropriate distribution of cash flows between investors and overall acquisition and management of asset.
* Participated in land acquisition, development planning, construction, and lease-up of real estate development projects including: Carmel’s Old Town Shops I & II and Indiana Design Center. * Worked with Carmel Redevelopment Commission regarding zoning, land-use, and easement regulations. * Developed, w/ Hamilton County Assessor, “Sky Tracts” to properly document ownership of Air Rights in Carmel, IN
* Assisted General Counsel in preparation and review of documents for multiple corporate real estate closings including: review of title work, environmental & land surveys, negotiations with lenders and coordination of closings. * Prepared UCC filings for multiple financial transactions occurring predominantly in Indiana and Wyoming.
* Supervise an eight member department, including budget management and day-to-day operations, in charge of providing phone, internet and cable services to over 5,000 residential units. * Evaluated FCC rules and regulations as well as the latest Telecommunications statutes where applicable. * Participated in the IT infrastructure design of Carmel City Center which will include: 230,000 sq. ft. retail and fine dining; 170,000 sq. ft. office space; 350 luxury condos; 180 room boutique hotel; 500 seat performing arts theater. * Acted as liaison between IT Dept. and individual Tenants in design of Showroom IT plan at Indiana Design Center. * Reviewed and negotiated phone, internet and cable TV agreements for a portfolio of over 100 apartment communities.
