• Providing comprehensive legal, regulatory, governance, and compliance advice across all areas of the company • Drafting, negotiating, and managing Master Agreements for various commodities and derivatives (power, trade, petrochemical) and other contracts (IT, Sale/Purchase, etc.) • Preparing pre-transaction and transaction documents, including marketing materials, confidentiality agreements, and term sheets • Monitoring regulatory developments and ensuring compliance with new legislation • Leading the drafting of position papers on upcoming amendments, and coordinating exchanges with administrative authorities and industry associations • Collaborating with business units to ensure coherence on matters impacting group companies • Advising on the legal structuring of transactions • Conducting regulatory and legal due diligence, reviewing legal opinions, and assessing conditions precedent • Drafting legal notes and providing counsel to Trading and Sales teams • Developing practice notes and contributing to policy and guideline formulation • Translating commercial risk issues into actionable legal advice for business stakeholders • Building strong client relationships (primarily internal, while facilitating external client services) • Liaising with government regulators and self-regulatory organizations • Managing external counsel and overseeing legal fees • Overseeing corporate governance matters and supervising litigation processes
