I am a qualified Chartered Accountant with keen interest and in-depth experience in the domain of mergers and acquisitions. During the 3 years of my articleship in Lodha & Co as a member of Mergers and Acquisitions Department, I have had the opportunity to be involved in different nature of assignments. Following is the brief of work I have performed during the tenure of my articleship: 1. Valuation of Companies, Financial Securities and Intangible Assets: I have conducted valuation of equity instruments for the purpose of Ind AS reporting using DCF methodology, NAV and Market Multiple Approach. Further, I have valued financial instruments and intangible assets for the purpose of Purchase Price Allocation. I have also valued securities in compliance with FEMA, Income Tax Act, SEBI and Companies Act. I have also prepared valuation reports from scratch. 2. Financial Due Diligence: I have analysed comparative financial statements of the Target entities during buy side due diligence, identified key trends, key performance indicators and variances in the items of profit and loss statement as well as balance sheet. Additionally, I have prepared Adjusted EBITDA calculations, assessed Net Debt and Working Capital as on the specified cut-off date for various sectors such as unrefined oil, FMCG and BPOs. Drafted FDD reports and executive summary for presentation to clients. 3. Certification: Drafted certificates to be submitted by independent chartered accountant to merchant bankers for the purpose of Initial Public Offer, Right Issue and Qualified Institutional Placement as well as reviewed and circled-up Red Herring Prospectus and Offer Letters. 4. Restructuring: Planned and proposed external restructuring action plan and scheme of arrangement for a real estate company taking into considerations of promoter group and compliance with Companies Act, Income Tax Act, RERA. 5. Advisory: Executed migration testing of a new treasury software in a listed Gilt, advised on various corporate law and economic law related queries and issues.
