• Provide enterprise-level government contracts counsel across FAR, DFARS, CAS, business systems and government audit matters, advising business and program leadership on growth, compliance, and risk. • Guide enterprise-wide cost and pricing, negotiations, and audit strategy and for major programs, including DCAA/DCMA matters and complex federal procurement transactions. • Lead cross-functional risk, process, and training initiatives and negotiate high-value prime and subcontract agreements.
• Maintained a broad government contracts practice, advising dual-use technology companies and defense prime contractors across the aerospace, defense, and advanced manufacturing sectors on FAR/DFARS compliance, cost and pricing, business systems, data rights, and commerciality, and rapid acquisition pathways (e.g., OTAs, CSOs). • Advised strategic buyers and VC- and PE-backed companies on mergers, acquisitions, and strategic transactions, leading government contracts–focused diligence and regulatory risk assessments and drafting complex subcontracts, teaming, joint venture, and confidentiality agreements. • Counseled and litigated bid protests and contract claims, including matters before the Government Accountability Office, federal courts, agency tribunals, and boards of contract appeals.
• Government contracts-focused practice representing a mix of commercial and non-commercial defense primes and subcontractors, including venture capital and private equity backed companies, on bid protest and claims litigation, mergers and acquisitions, and compliance matters.
• Researched complex bankruptcy and procedural issues and prepared bench memoranda for matters before the United States Bankruptcy Court for the Eastern District of Virginia, including Chapter 7, 11, and 13 cases and adversary proceedings. • Drafted and edited proposed orders and opinion language; analyzed dispositive and procedural motions; communicated with counsel on case management; and assisted the judge during hearings and trials.
• Supported government contracts attorneys representing defense prime contractors and subcontractors on bid protests, claims, corporate, and compliance matters, including research and drafting under the FAR and agency supplements.
