An experienced legal and tax professional with a strong expertise in business law, I specialize in the creation, management and restructuring of legal entities, as well as in tax consulting for companies operating in the OHADA and UEMOA zones. I work closely with executives, CFOs and other decision-makers to help them optimize their tax strategy, manage legal risks and ensure compliance with local and international regulations. Tax and Legal Services : - Assisting clients in registering, dissolving, and/or restructuring a legal entity in OHADA. - Provide tax and legal advice, engage in discussion with government officers in matters and issues affecting client requirements. - Prepare letters, protests, memoranda, position papers, and other similar written work supported by tax and corporate laws, rules, and regulations. - Perform tax research and analysis on numerous diverse tax issues. - Actively manage engagements that include corporate taxation, consolidated returns, S-corporation taxation, partnership taxation, individual taxation, and state and local tax matters. - Oversee tax return compliance, tax planning, and income tax provisions engagements for public and private clients to make sure that all areas of taxation issues are adequately and timely addressed. - Develop tax-planning strategies by utilizing tax modeling and forecasts to optimize cash tax savings for corporate entities. Client Engagement and Communication : - Work closely with CFOs, CAOs, controllers, tax directors, and other key executives to ensure all client needs are met. - Conduct day-to-day management of client accounts to guarantee delivery of timely and accurate work products. - Communicate with clients of different nationalities and explain the complexities of the law in a manner that can be easily understood by non-lawyers. - Managing multiple engagements at the same time without compromising deadlines for the deliverables to meet client expectations.
Team Collaboration and Development : - Support the PKF Rubiks Audit and Accountant team in legal issues. - Support the firm’s initiatives by teaming with cross-border colleagues and utilizing the firm’s newest technologies to improve efficiencies. - Actively assist in developing skills of staff to contribute to the development of the team’s technical acumen. - Respect the needs of their colleagues and build cooperative relationships. - Motivate others through team collaboration as well as recognizing individual strengths, differences, and contributions. Specialize in providing legal and tax assistance to private companies operating in the energy, retail, construction/civil engineering, transport (land and sea) and new technologies sectors, based in the UEMOA zone. My work at PKF Rubiks includes providing legal support for company start-ups and liquidations, mergers and acquisitions, and capital increases and reductions, in compliance with national and community (OHADA) standards; drawing up mandatory tax and social security declarations; drafting of employment contracts and DMTs; declaration and payment of withholding taxes on salaries and remuneration paid to third parties; drafting of legal articles and news briefs and legal secretarial services (drafting of articles of association, reports, notices of meetings, minutes of AGMs, EGMs and Board of Directors meetings. ..) I am also available to assist my clients during tax audits, as well as in litigation and disputes with the tax authorities. I also provide legal representation for entities that do not have a permanent establishment in Senegal.
