As Senior Counsel in Legal and Business Affairs, I negotiate and execute complex commercial transactions and oversee some of our most important third party relationships, including as primary relationship manager for our second largest partner, Sony Music Entertainment. I manage the deal process from start to finish including evaluating and assessing priorities amongst various business teams, preparing pitch decks, exchanging term sheets, negotiating major deal points and drafting agreements. Additionally, I negotiate transactions and manage ongoing relationships with several major content licensors as well as partners in the hardware, software, data and subscription resale verticals. As Counsel in Legal and Business Affairs, I negotiated and executed complex commercial transactions, focusing on content licensing and business development opportunities. I serve as the primary legal relationship manager for crucial partnerships with record labels (including primary relationship manager for Sony Music Entertainment) music publishers and collecting societies, production companies, mobile carriers and hardware/software partners.
I represented technology, life sciences and media companies and their investors through their entire life cycle, including company formation, venture investing, ongoing advisory work and preparations for exit. I drafted a wide range of documentation that clients request for financing rounds, mergers and acquisitions and capital markets transactions. I provided ongoing counsel for companies and investors on various issues including corporate governance, strategy and risk management, financing, intellectual property, employment and stock option issuance.

I constructed financial models and conducted capital structure analysis, recommending solutions to achieve optimal leverage ratios, including via share repurchases, issuance of hybrid securities, and creative repatriation of offshore cash.
