I am a U.S.-trained attorney and a member of my firm’s U.S. and Israeli Capital Markets practices, advising high-tech and life sciences companies on U.S. corporate and securities law matters. I regularly represent Israeli and international issuers seeking to list or trade their securities in the United States, with a particular focus on foreign private issuers whose shares trade on the NYSE and Nasdaq. My practice spans initial public offerings, secondary public offerings, private placements, and targeted securities law advisory work. I work closely with public companies on their ongoing reporting and disclosure obligations, helping them navigate the day-to-day legal and regulatory questions that arise in the course of operating as a U.S.-listed issuer. My experience includes drafting and reviewing SEC filings, supporting capital raises, and closing IPOs on behalf of issuers. I began my legal career in Chicago, where I was trained in complex litigation before transitioning fully into capital markets and securities work.
