I am a Tax Lawyer focused on the intersection of corporate reorganizations, M&A, and emerging technologies. My experience involves advising clients on tax-efficient corporate structures and the tax implications of digital assets. Having founded a legal practice serving the tech sector, and having been involved with projects in the web3 space, I bring a unique 'business-first' advisory perspective to complex tax planning. I am currently deepening my technical tax expertise by completing an LLM in Tax at Osgoode Hall law school. Transitioning my specialized boutique practice to a global platform to focus on high-stakes, multi-jurisdictional tax advisory in the wake of pillar 2 and technological changes to the tax landscape.
To date, I have advised and served over 300 clients ranging from tech start ups, to mom and pop shops, to professional athletes and influencers. My work has primarily focused on individual planning and corporate tax reorganizations (for example, s.85 rollovers and tax residency emigration, LCGE eligibility and advising on tax consequences of digital asset transfers). I have helped clients purchase and sell businesses, secure financing and investment, resolve internal issues and guide, draft contracts, and structure their businesses.
In this role I became the architect of a plan to create a Digital Asset Regulatory Commission hosted on First Nation land, based on previous regulatory frameworks such as the Kahnawake Gaming Commission. Our commission would assert the host nation's right to economic sovereignty under s.35 of the constitution in relation to web3 activity, thereby allowing licensees to participate in industries like natural resource tokenization. This new regulatory framework is still in the process of being created, however, no longer under the Nations First company.
As the principal associate, I managed a team consisting of clerks, students and admin while I routinely advised clients on corporate governance and tax matters. Routine transactions were s.85 rollovers and tax motivated corporate reorganizations.
Gained experience in corporate structuring, securities compliance and tax law implications of clients in the blockchain and cryptocurrency space. I drafted a wide range of corporate resolutions, agreements, and documents to facilitate different transactions, rollovers or restructures. In addition to this I provided legal research to the firm.
At Benchmark my duties consisted of reviewing contracts and commercial leases, and drafting different documents ranging from contracts to GDPR compliant privacy policies and website terms. In addition to this I was involved with the firm's partnership with Small Business BC where the firm gave seminars and free consultations to entrepreneurs and start-ups.
