Derecho farmacéutico Brief description of work perfomed: I lead the efforts of the Commercial team in Madrid, advising on: o Country launches for strategic clients, for both online and offline product or service offerings; o Drafting, reviewing, negotiating, executing and terminating all type of complex commercial contracts (manufacturing, purchase, sale, distribution, agency, marketing, advertising, transportation, logistics, cooperation, cross-border contracts, framework agreements, standard contracts, and general terms in B2B and B2C); o Introducing and restructuring supply chain and distribution systems (including selective distribution and franchise); o Legal validation of e-commerce platforms and online stores in Spain; o National legislation on consumer protection, retail trade, advertising, promotions and e-commerce law; o Legal assessment of the operative business, contractual relationships, and contract and commercial matters in due diligences; o Corporate reorganizations and group structure optimization; and o Out-of-court disputes with contractual partners and associated settlement agreements.
External Legal Counsel in the Amazon Last Mile Team. As Last Mile Legal Counsel I was responsible for advising on strategic expansion projects in the last mile sector in Spain, providing guidance for senior executives and other business and legal team members on novel and unprecedented legal and regulatory matters. The role also involved drafting and negotiating agreements with key partners through a variety of agreement types, handling complex litigation and regulatory engagement.
External Legal Counsel in the GPS&C department. Supporting senior lawyers in negotiating complex contracts and negotiating basic contracts independently. Substantiating recommendations, allowing the company to appreciate its contractual and statutory obligations, supporting senior lawyers in managing disputes and litigation. Assisting in management decision processes with robust risk assessments.
